Seller Participation Agreement
THIS AGREEMENT CONSTITUES THE ENTIRE AGREEMENT OF THE PARTIES WITH RESPECT TO THE SUBJECT MATTER HEREOF AND SUPERSEDES AND CANCELS ALL PRIOR AND CONTEMPORANEOUS AGREEMENTS, CLAIMS, REPRESENTATIONS, AND UNDERSTANDINGS OF THE PARTIES IN CONNECTION WITH THE SUBJECT MATTER HEREOF.
Welcome to 2Gees.co.uk
Anyone who is interested to use the site and services with the intention to sell must abide by the terms and conditions of this Participation Agreement. By registering for using 2Gees.co.uk services, you agree to bind by all terms and conditions of the participation agreement including all policies and guidelines of the site.
1. Who Can Sell
You must not be a minor. You must by law be able to form and enter into the contracts under applicable law. You must provide the following to be a participant:
- Your name
- Address
- Phone number
- E-mail address
- Payments information
- You must agree to fulfil a minimum of 85% of orders placed with you through your 2Gees store or its Business Partners.
2. Policies and Guidelines
You must agree that under the laws of your country in which your business is registered you have the right, power and authority to enter into the Seller Participation Agreement and to perform your obligations hereunder.
- All listing fees are in U.S. dollars unless stated otherwise
- You must be sure that the items you offer for sale can be sold on the Site.
-You must provide to us the state or country from which the item ships.
-You must provide any requested information regarding shipment, tracking
-You must send customers emails confirming shipment of products you sell
3. Shipping Confirmation
If you disregard to provide shipping confirmation within the time frame specified (30 days after the date an order was placed). 2Gees.co.uk may direct you to stop and/or cancel such transaction. The seller must agree to ship products listed on their store to buyers and also inform them of shipping confirmation via email. You agree to provide buyer method of tracking their items.
4.Transactions
2Gees does not directly participate in any transactions between buyers and sellers. 2Gees only provides a buying and selling platform and is in no way an agent or representative of any buyer of seller that buys or sells via its shopping platforms.
What you cannot sell on 2Gees platform
We also expect sellers to be aware of products or services that they cannot be listed on 2Gees.co.uk as prohibited by law. You are required to read our guidelines on products that you cannot sell on 2Gees. You must be aware that you cannot list items that infringe any third party intellectual property rights and also the following:
You may not list:
- Copyright
- Trademark
- Patent
- Trade secrets
- Proprietary rights
- Copyright
- Rights of publicity or privacy
- Constitutes libel or slander or is otherwise defamatory
- Counterfeited, illegal, stolen, or fraudulent
5. Tax
All sellers are required to collect, report, and remit the correct Seller Taxes to the appropriate tax authority. You must agree that you have the legal right to distribute all photos, images and other content that list on 2Gees.co.uk. You agree that you are responsible for deciding if sales or use taxes apply to your sales transactions and 2Gees.co.uk has no responsibility in this regard.
6. Copyrights
You must acknowledge that you may not modify, reproduce, delete, add to, publish, distribute or create derivative works of the Content trademarks that belong to 2Gees or its business partners without their permission. You must acknowledge that trade names, service marks, copyrights, trade secrets and other intellectual property rights remain the sole property of their licensors.
6.2. Copyright Policy
You may not post, modify, distribute, or reproduce in any way any copyright material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. Provider prohibits use of the Website and/or the Services of any User who infringes the copyright of others. Without limiting the foregoing, if you believe that your work has been copied and posted on the Website and the Services by another User in a way that constitutes copyright infringement, please notify us via the "Report inappropriate content" link accompanying the content in question. We will take such action (if any) that we in our absolute discretion deem appropriate.
7. Termination Notice
You agree that we may in our sole discretion suspend your account any time without notice to the other third party for any reason based on fraudulent activities. You will be expected to fulfil all outstanding orders placed prior to termination.
2Gees.co.uk may be only be used for legal activities. You agree to comply with all applicable laws, statutes, and regulations. You agree not register under a false name or use an invalid or unauthorized credit card. You agree not to impersonate any participant or use another participant's password. You are aware that fraudulent conduct is a violation of federal and state laws. Fraudulent conduct may be reported to law enforcement agency.
*Note: 2Gees will fully cooperate with law enforcement agency to ensure that violators are prosecuted to the fullest extent of the law.
7.2 Termination
We may terminate the provision of the Website or the Services or restrict your access to them without any prior notice to you where (by way of example and without limitation): (1) there is a regulatory or statutory change limiting our ability to provide the Website and/or the Services; (2) any event beyond our reasonable control prevents us from continuing to provide the Website or the Services (for example, without limitation, technical difficulties, capacity problems and communications failures); or (3) we consider in our sole discretion that you are abusing the Services provided by the Website or are otherwise acting in breach of the Agreement.
As this is a shared service with other Users, you agree that if the demand for the Services provided by the Website is in excess of our ability to meet the capacity, we may either share the capacity among all Users or we may give you notice by e-mail that the provision of the Website will terminate. Any such termination will not affect your accrued liabilities incurred prior to any such termination.
8. Buyer and Sellers Disputes
2Gees is not involved in transactions between buyers and sellers or other third party dealings. In case of disputes between buyers and sellers you automatically release 2Gees.co.uk from any claims or damages or demands.
9. Limitation of Liability
You agree to exempt 2Gees.co.uk, all its affiliates, employees, directors, agents and representative from and against any all claims, costs, losses, damages, judgements, penalties, interest, and expenses that also includes attorney’s fees arising out of claims that apply to breach of contract or warranties. 2Gees.co.uk is not an agent of either buyers or sellers and will not participate in issues arising out of transaction, claims, damages or demands from both buyer and seller.
You agree to indemnify and hold Provider, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, demand, claim or legal proceedings brought or threatened, including expenses of any character suffered or incurred arising out of your use of the Website or the Services in violation of this Agreement, and/or arising from your use of or conduct on the Website or in use of the Services and/or a breach of this Agreement.
9.2. LIMITS ON LIABILITY
IN NO EVENT, WHETHER BASED ON BREACH OF WARRANTY OR CONTRACT, NEGLIGENCE, STRICT LIABILITY IN TORT OR ANY OTHER LEGAL THEORY, WILL 2GEES.CO.UK BE LIABLE FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR COST OF "COVER" ARISING OUT OF THE SELECTION, ORDERING, PURCHASE, USE, RESALE OR DISTRIBUTION OF THE PRODUCTS COVERED HEREBY, OR OTHERWISE, EVEN IF 2GEES.CO.UK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN PARTICULAR 2GEES.CO.UK WILL NOT BE LIABLE FOR LOSS OF PROFITS, SAVINGS OR REVENUE; DAMAGE TO REPUTATION; LOSS OF USE OF A PRODUCT OR ANY ASSOCIATED EQUIPMENT; COST OF CAPITAL; COST OF ANY SUBSTITUTE GOODS, EQUIPMENT, FACILITIES OR SERVICES; DOWNTIME; AND THE CLAIMS OF THIRD PARTIES INCLUDING BUYER'S CUSTOMERS.
10. ORDERING PROCESS
The following information must be included in every purchase order:
- Customer/Buyer name
- Bill to address
- Complete delivery address
- Purchase order number or Product Reorder number
- Date by which the product is required
- Shipping preference
- Item, quantity and unit price
- Total price per line
- Contact name, phone number, fax number or email address
11. GOVERNING LAW AND JURISDICTION
This agreement, and any claims or disputes related to this agreement, will be governed by the laws of the state in which the 2Gees.co.uk facility to which the Buyer and Seller purchase order is addressed or sent. Such laws shall exclude conflict of law provisions and, with respect to a U.S. state, the U.N. Convention on Contracts for the International Sale of Goods. All actions or proceedings under or relating to this agreement will be subject to the exclusive jurisdiction of a state, federal or comparable court located in that jurisdiction; provided, however, that in 2Gees.co.uk discretion such an action may be heard in some other place designated by it if necessary to acquire jurisdiction over third persons so that the dispute can be resolved in one action. Buyer hereby agrees to appear in any such action, consents to the jurisdiction of such courts, and waives any objections it might have as to venue in any such court. Both parties hereby knowingly and willingly waive their respective right to a trial by jury in any actions or proceedings under or relating to this.
12. RULES
We ask that you do not post any content (including for example, in your Profile) that breaches the Provider’s terms of use agreement for the Website (the "Agreement"), including by way of example content that:
- Is racist, homophobic, sexist, or demeaning to either sex, abusive, sexually explicit, pornographic, of a disturbing nature or that preaches, encourages or incites religious or ethnic hatred, or links to websites that promote the same;
- Breaks the law, or encourages other to break it;
- Makes defamatory comments about others;
- Infringes copyright or other intellectual property rights;
- Reveals another user’s personal details, such as their surname, address, contact numbers, email address or other identifying information;
- Uses swear words in order to offend others, or may be deemed rude or mean spirited or attempts to circumvent profanity filters in order to use swear words.
- Promotes commercial products or enterprises or repeatedly posts links to promote other sites and/or services; or
- Is an image of a child under 18(for further detail please see below);
In addition, we ask that you do not use the Website to carry out any activity prohibited by the Agreement including by way of example to:
a. harass, threaten or attack anyone or otherwise behave in any way that would cause annoyance or distress to other users;
b. transmit or knowingly receive content and/or language that is in any way unlawful, threatening, offensive, or in breach of any obligations of confidence. This includes the use of swear words and the use of offensive nicknames;
c. flood or "spam" the Website or any user who posts content on the Website;
d. provide instructions for illegal or otherwise harmful activities;
e. transmit or knowingly receive information relating to (or include links to) pornography, pirated software and/or computer games or other counterfeit goods;
f. collect and/or distribute personal data concerning other users;
g. impersonate another person, whether a friend, family member, celebrity, moderator, another user or an employee of 2Gees.co.uk and any of its affiliates.
h. attempt to commercially gain from use of the Website. This includes the transmission of advertisements and any other attempts to generate business from other users of the Website;
i. post chain letters or pyramid schemes;
In addition the following is prohibited:
1. Use of multiple logins for the purpose of disrupting the community or annoying other users;
2. Dissemination of "spoilers" such as material which contains plot developments which have not been transmitted on UK analogue or digital television (whether free-to air, cable or satellite). Such content will be deleted unless submitted in a designated "spoilers area";
3. Content containing languages other than English;
4. Use of offensive or inappropriate user names;
5. Deliberate misuse or spamming of the complaints facility;
6. Use of swear words or other language likely to offend;
7. Posting of content which breaks the law, condones or encourages unlawful activity.
We reserve the right to remove from the Website, without notice and at our sole discretion, any content that we consider inappropriate for the Website. We may also ban, block or delete any user accounts if, according to our sole judgement, their owners or users have infringed the Agreement, any relevant House Rules or are using our service in a manner that we consider inappropriate.
13. Disclaimers
Provider is not responsible for any incorrect or inaccurate content posted on the Services or the Website or in connection with the Website or the Services, whether caused by Users of the Website or the Services or by any of the equipment or programming associated with or utilized in the Website or the Services. Profiles created and posted by Members on the Website or the Services may contain links to other websites although we are not responsible for any User generated links or linked-to content. Provider is not responsible for the content; accuracy or opinions expressed on such websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by Provider. Inclusion of any linked website on the Website and the Services does not imply approval or endorsement of the linked website by 2Gees.co.uk you access these third-party sites; you do so at your own risk. Provider takes no responsibility for third party advertisements which are posted on the Website or through the Services, nor does it take any responsibility for the goods or services provided by its advertisers. Provider is not responsible for the conduct, whether online or offline, of any User of the Website or the Services. Provider assumes no responsibility for any error, omission, interruption, deletion, corruption, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User communication or any content. Provider is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the Internet or on any of the Services or combination thereof, including any injury or damage to Users or to any person's computer related to or resulting from participation or downloading materials in connection with the Website or the Services. Under no circumstances shall Provider be responsible for any loss or damage resulting from use of the Website or the Services, attendance at an event organised through the Website or the Services, from any content posted on or through the Website or the Services, or from the conduct of any Users of the Website or the Services, whether online or offline. The Services are provided "AS-IS" and as available and Provider makes no representations or warranties of any kind as to the Website, the Services or the content. In particular Provider expressly disclaims any warranty of fitness for a particular purpose or non-infringement. Provider cannot guarantee and does not promise any specific results from use of the Website and the Services. Nothing in this Agreement shall be construed as limiting or excluding Provider’s liability for death or personal injury caused by its negligence.
14. Content/Activity Prohibited
The following is a partial list of the kind of content that is illegal or prohibited to post on or through the Website or the Services. 2Gees.co.uk reserves the right to investigate and take action against any User who, in the opinion of Provider, violates this provision, including without limitation, removing the offending communication from the Website or the Services, preventing access to the Website and the Services and/or terminating the Membership of such violators and/or reporting to law enforcement authorities or regulatory bodies. Prohibited content includes, but is not limited to content that, in the opinion of Provider:
14.1 is offensive;
14.2 promotes racism, terrorism, hatred or physical harm of any kind against any group or individual or links to websites that promote the same;
14.3 harasses or advocates harassment of another person;
14.4 exploits people in a sexual or violent manner;
14.5 contains pornography, violence, or offensive subject matter or contains a link to an adult website;
14.6 solicits personal information from anyone under 18;
14.7 provides any telephone numbers, street addresses, last names, email addresses or other contact or identifying details of any private individual;
14.8 provides any telephone numbers, street addresses, email addresses or other contact details of any public figure;
14.9 promotes information that you know or have reason to believe is false or misleading or promotes illegal activities or conduct that is objectionable, abusive, threatening, obscene, defamatory or libellous;
14.10 promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacturer-installed copy-protect devices, or providing pirated music or links to pirated music files or file sharing;
14.11 involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming";
14.12 contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);
14.13 furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
14.14 solicits passwords or personal identifying information for commercial or unlawful purposes from other Users; or
14.15 involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes.
The following is a partial list of the kind of activity that is illegal or prohibited on the Website and through your use of the Services. Provider reserves the right to investigate and take appropriate legal action against anyone who, in the opinion of Provider, violates this provision, including without limitation, reporting such person to law enforcement authorities. Prohibited activity includes, but is not limited to:
14.16 criminal activity or any tortuous act or civil wrong, pornography, incitement to racial hatred, incitement to terrorism, fraud, posting obscene material, drug dealing, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, copyright infringement, trade mark infringement, breach of confidence or theft of trade secrets;
14.17 advertising to, or solicitation of, any User to buy or sell any products or services through the Services. You may not transmit any chain letters or junk email to other Users. It is also a violation of these rules to use any information obtained from the Services in order to contact, advertise to, solicit, or sell to any User without their prior explicit consent.
14.18 covering or obscuring the banner advertisements on your personal profile page, or any page on the Website via HTML/CSS or any other means;
14.19 any automated use of the system, such as using scripts to perform automated operations;
14.20 interfering with, disrupting, or creating an undue burden on the Website or the Services or the networks or services connected to the Website of the Services;
14.21 attempting to impersonate another Member or person;
14.22 using the account, username, or password of another Member at any time or disclosing your password to any third party or permitting any third party to access your account;
14.23 selling or otherwise transferring your profile;
14.24 using any information obtained from the Website or the Services in order to harass, abuse, or harm another person;
14.25 displaying an advertisement on your profile, or accepting payment or anything of value from a third person in exchange for your performing any commercial activity on or through the Website of the Services on behalf of that person, such as placing commercial content on your profile, or sending private messages with a commercial purpose;
14.26 using the Website or the Services in a manner inconsistent with any and all applicable laws and regulations;
14.27 modifying, accessing or making available data stored on a computer device which you have accessed through our network, when either the owner of the data, computer or device has taken steps to prevent you from doing this or the owner has expressed a wish that you do not do this;
14.28 making available or uploading files that contain software or other material, data or information not owned or licensed to you or collecting information about others (eg names/addresses) without their prior consent;
14.29 making available, uploading and distributing by any means any material or files that contain any viruses, bugs, corrupt data, "Trojan horses", "worms" or any other harmful software;
14.30 falsifying the true ownership of software or other material or information contained in files made available via the Website or the Services; or
14.31 Obtaining or attempting to obtain unauthorised access, through whatever means, to the Website or the Services, other services or computer systems or areas of our or any of our partners' networks which are identified as restricted.
15. E-mail Policy
We will not disclose any personal information under any circumstances of any 2Gees and/or any of its associate companies' staff. Where appropriate we will endeavour to respond to e-mails with 3 days of receipt, but we cannot and do not guarantee to respond to e-mails. E-mails will generally be stored for 12 months after which time they will automatically be deleted. An e-mail sent to the incorrect destination is liable to be deleted immediately. We will not respond unless required to do so by law to any electronic mail ("e-mail") sent to us which contains threatening, abusive, malicious, pornographic, obscene, defamatory or otherwise illegal or inappropriate material. We reserve the right to take such action as we in our sole discretion deem fit in respect of such material.
16. Term
This Agreement shall remain in full force and effect while you use the Services or are a Member. You may terminate your Membership at any time, for any reason, by emailing 2Gees Customer Services.
17. Fees & Commission
You acknowledge that 2Gees.co.uk reserves the right to charge for the Services and to change any applicable fees from time to time in its discretion. If we terminate your Membership or use of any of the Services because you have breached the Agreement or other applicable terms and conditions you shall not be entitled to a refund of any unused portion of subscription fees.
All sellers, regardless of Seller Program, agree to pay 2Gees.co.uk sales commission of £0.50 of their list price when a sale is made through sellers store.
18. Password
When you sign up to become a Member, you will also be asked to choose a password.
You are entirely responsible for maintaining the confidentiality of your password.
You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify 2Gees.co.uk immediately by emailing 2Gees.co.uk if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.
19. Eligibility
By using the Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information (including your email address); (c) where registration as a Member is required in order to use a Service you are 18 years of age or older; and (d) your use of the Services does not violate any applicable law or regulation. Your profile may be deleted and your Membership may be terminated without warning, if we believe that you are under 18 years of age.
20. Unacceptable Content
Please choose carefully the information you post on the Website and that you provide to other Users. Your Website profile and other Content submitted by you to the Website may not include the following items last names, telephone numbers, street addresses or other contact details or identifying information of private individuals, contact details of public figures and any photographs containing nudity, or obscene, lewd, violent, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, it is possible that content provided by other Users (for instance, in a Member’s profile) may contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and Provider assumes no responsibility or liability for this material. If you become aware of misuse of the Website or the Services by any person, please contact 2Gees.co.uk customer service
21. Account Maintenance
You must agree to keep account information up to date. Sellers must have their inventory on hand at all times.
22. Order processing information
Once you have confirmed acceptance of an order through 2Gees.co.uk
1. You are obliged to fulfil the order.
2. You are obliged to confirm time and method of dispatch.
3. You are obliged to dispatch the order for receipt by the Shopper within three to five days unless the item is being specially made or ordered.
You must notify the Shopper promptly through your account at each of the following stages:
1. Receipt of order notification.
2. Dispatch of order with expected delivery date.
3. Any problems relating to the order.
4. Receipt of an item that has been returned to you.
5. Processing of an exchange or refund.
6. You must not include any other material with the package.
23. Protecting sellers from losing a claim
Seller should be able to produce Proof of Delivery” is online documentation from a postal company that includes all of the following:
-A status of “delivered” (or equivalent) and the date of delivery.
-The recipient’s address, showing at least the city/county or postcode (or international equivalent)
-Signature Confirmation for transactions
Sellers must provide documentation that the item was exactly how it was described. Sellers should provide the following documentation in order to protect them from losing claim-
-the buyer complains that the item is used, not new, and the listing clearly describes the item as used, or
-a defect in the item was correctly described by the seller, or
-the item was properly described, but the buyer didn't want it after they received it, or
-the item was properly described but did not meet buyers' expectations, or
-the item has minor scratches and was listed as used condition.
-If seller cannot provide such documentation we will require seller to refund buyer the full refund claim.
Failure to comply - consequences
If sellers do not provide buyer with a valid reimbursement method, 2Gees reserves the sole right and discretion to suspend the seller’s account.
When seller has confirmed shipment of an item, the seller has the option to give either a full refund or a partial refund to a buyer. There is no limitation on the number of partial refunds but refunds cannot exceed the amount of the order. Sellers are welcome to refund a buyer up to 60 days after the order date.
24. Seller Feedback
2Gees Marketplace posts feedback from our buyers concerning their experiences with our sellers. 2Gees will only edit feedback if it reflects profanity, or in instances where buyers have left personally identifying information. 2Gees does not remove buyer feedback it reflects negatively on seller review score, we expect seller to work to resolve any issues with your buyer. It is not acceptable if seller provides feedback for their own account, 2Gees will terminate seller account if it becomes evident that seller is providing feedback for their own account.
25. Packaging
2Gees expect Sellers to ship all orders in packaging that is secure enough to minimize the chance of damage during shipping. Seller should make sure that the shipping address and the return address must be printed legibly on every package. Every package must also include the packing slip.
26. Order Confirmation
2Gees requires all Sellers to confirm shipment once they have shipped an order to a buyer. Sellers should include shipping company (ie. FedEx UPS, etc.). Seller should include tracking information for all orders. Sellers are required to confirm shipment once they have shipped an order to a buyer. All orders must be marked as shipped in two business days. Sellers do this from within their seller account (inside their My Account) by inputting the Shipped Quantity, Ship Date, "Tracking Number", and using the drop-down menu to select the shipping company (ie. FedEx UPS, etc.). Tracking information is required for all orders.
27. Linking off the Site
a. As a seller you will not directly or indirectly
b. Sell, disclose or transfer any data acquired by you as a result of any Private Marketplace transaction or use of 2Gees.co.uk and related Services, or permit any other entity company or individual person to have access to the same;
c. Send non-electronic direct-mail marketing that promotes or advertises anyone (including you and your affiliates) to any users or customer of the Services;
d. Send electronic communication except as necessary to complete any customer's transaction or to respond to a customer service enquiry made by such customer concerning such transaction to any user or customer of the Services;
e. Use any 2Gees.co.uk domain name on 2Gees.co.uk and/or otherwise in any communications that you have with any user of the Services and/or any customer;
f. Include in any communication made or authorised by you with any user of the Services and/or any customer including, without limitation, in any order, order confirmation and/or other communication made in connection with the fulfillment of a transaction any data collected from 2Gees.co.uk or relating to another user:
g. offer any reference to any Third Party and/or
h. any link or reference to any website other than 2Gees.co.uk (or otherwise seek to direct any person to any website other than 2Gees.co.uk).
i. except that you may include in any communication to a customer links or references (or otherwise direct such customer to your website solely
j. in connection with your fulfillment of, or as necessary to provide customer service with respect to such applicable purchase);
k. reference any domain names;
l. Target (on any basis via any means) unsolicited communications of any kind to any user of the Services and/or any customer. You will comply with the Data Protection Act 1998, including, but not limited to, the Seventh Principle.
m.Sellers must not include any links (graphical, text or otherwise) in any Fixed Price Sale listing on the Site, save where such links convey users directly to another location on the Site, without displaying or performing any other advertisements, promotions or content (whether audio, visual, audio-visual or otherwise).
